TERMS AND CONDITIONS

These Terms and Conditions are a condition of doing business with StreamLine Marketing Pro, also known as StreamLine Agents, Inc., including it’s officers, staff, successors and/or assigns, also hereby referred to as StreamLine. By placing an order with and/or doing business with StreamLine for either transaction services or any “Marketing Pro” managed service, the agent represents that they are licensed within their state of business and the licensed real estate agent also hereby referred to as “the agent” agrees to all terms and conditions, whether or not this document is signed.

StreamLine does not accept liability for following local and state regulations on the company provided Website service, eBooks, regarding the real estate contract, listing, marketing, social media, informational brochures, or statements made by the agent to their clients, or any other aspect of real estate industry business. It is the agent’s responsibility to know and comply with all local and state laws, statutes and regulations. The agent will be responsible for notifying StreamLine of any service changes required by real estate rules and regulations and any state statutes/laws.   All marketing decisions are the sole responsibility of the real estate agent. StreamLine does not make any guarantees or promises regarding the expected results of any services we offer, or marketing we complete on your behalf. StreamLine may place advertisements, order postcards or flyers, order inspections and warranties, and more as requested by each StreamLine client (also known as "member"). We will place orders only after receiving your authorization. If applicable, any third party invoices including, but not limited to: marketing, closings, inspections, or materials ordered on the agent’s behalf are the sole responsibility of the agent and StreamLine does not accept any financial liability for outstanding balances with a third party.   To facilitate the best communication and customer service, we attempt to keep all transaction requests from the agent and responses in writing. All requests for transaction or consulting services under StreamLine Agents, Inc. must be sent by email to: [email protected] and All requests for services available under StreamLine Marketeing Pro must be sent by email to: [email protected]. To ensure accuracy and avoid confusion, no requests can be accepted by phone, fax, or text. StreamLine will send a written confirmation of your specific requests to you by email. If you do not receive a confirmation, please notify us immediately and we will re-send it.

It is the agent’s responsibility to ensure StreamLine has accurate instructions and to notify StreamLine of any change in contact information, including email address, or of server problems, etc., that may affect our communication.   The agent agrees to inform StreamLine of any changes that would affect the services provided, as well as payment information for such services. StreamLine does not write, supply, or in any way impact wording on real estate contracts, addendums, disclosures or any other legal portion of a real estate transaction. While StreamLine will, with all due diligence, follow up to receive signed documents, addendums, receipts, etc., receiving these items by the time/date requested or the deadline on the real estate contract is the sole responsibility of the signing party. StreamLine accepts no liability for receipt of any items by contractual deadlines. By placing an order with StreamLine you agree to hold harmless StreamLine Agents, Inc., its officers, staff, and/or its agents, successors and/or assigns, for liability or damages arising from the use of any of our forms and services.   StreamLine may provide certain forms or documents for your use throughout the life of a file or project. This may include, but is not limited to: Informational brochures, Inspection Repair Request Template, Inspection Waiver, Walk-Thru Report, etc. We are pleased to be able to provide this additional service at no charge.   Please note: Some/any of these forms have not had attorney review.

We recommend all forms/documents used in a transaction be reviewed by your broker and/or attorney. StreamLine does not accept any liability for use or non-use of any brochure, form or document. StreamLine uses various email templates with explanations of “what comes next” during a transaction for your buyer and/or seller. Use of any StreamLine brochure, letter/email/templates, or any form used by the Company is not a substitute for the professional advice and counseling agents give their clients. StreamLine expects that all agents will counsel their clients regarding such things as—but not limited to: home warranties, repair negotiations, appraisal value negotiations, target closing dates and possible changes, utilities, amendments, contract terms, contingency deadlines, homeowners association docs or issues, etc. We do recommend use of waivers and forms as an extra step to making sure your clients are informed and given the appropriate options. These could include, but are not limited to: Buyer Walk Through Waiver, Home Warranty Waivers, Inspection Waiver, Exclusion Lists, etc. Our services are meant to support your efforts, not supersede them.  

Marketing Pro Services: Our Core Success Bundle is a yearly membership, offered at a monthly fee schedule, or yearly discounted pay in advance schedule. There is a 30 day cancellation option for this service for month to month subscriptions. However, the setup fee and first month dues are non-refundable. Yearly subscriptions are based upon a full year subscription and are non-refundable. Placing an order for this service is completed by sending a request for services. Member will need to provide StreamLine with the agent’s headshot, completed IABS, Company and contact information, agent bio, and any marketing tag lines. Agent will choose which branding design option they prefer when placing their order. Set up will take up to approximately 7 days and allow for one round of changes prior to publishing. If no response is received to the initial proof in 7 days, the product will be published as-is. The membership start date begins as of the date of order request. A How to Use Guide and monthly newsletter tips will be provided to agents who order this service.   The monthly fee for services will be charged at the same time every month. If the due date falls on a weekend or holiday, the charge will be initiated the next business day. A discount is provided for agents who pay the year in full. By ordering service, the agent agrees to a one year membership with a first 14 day (first 14 days from purchase date) cancellation option. See company website for pricing.   Services without a setup fee, such as, but not limited to social media services: Agents will have a 14 day cancellation option, but one month's membership fee will be forfeit. Please see company website for offerings and pricing. Only one business is allowed per paid account. Reselling is prohibited. A new account must be opened for additional businesses associated with the agent or member. Terms and conditions apply to all services provided by the Company.   Payments: StreamLine accepts checks, payment through Stripe or Zelle payments.  

Data Ownership and Privacy Statement

All customer data, contacts, and related information entered or stored within StreamLine Marketing Pro (“SLMP”) systems by an agent or their authorized representatives remain the sole and exclusive property of that agent. SLMP acknowledges that agents retain full ownership and control of their customer data at all times. SLMP does not sell, lease, or otherwise distribute any agent or customer data to third parties. Agents may export, access, or share their own customer data at any time and may use SLMP systems to transmit such information to third parties of their choosing. SLMP staff and ownership will not access, disclose, or share an agent’s data except as required to provide contracted services or upon the agent’s explicit written authorization. Any sharing or disclosure of agent data beyond these conditions will only occur with the express written consent of the data-owning agent.

Agent agrees that all contacts they use are known to them through referral, as client, or third-party and that all contacts have agreed (verbally, or in writing) to receive communication from the agent. It is against StreamLine policy to spam and agent is responsible to comply with all state and federal spamming laws. No data mining, or cold calling through StreamLine services is allowed. No discrimination is allowed. All fair housing laws must be followed. All ethics as put forth by the National Association of Realtors, state and local boards must be followed. Any violation of any of these policies is grounds for immediate termination of account, at company discretion. If an account is terminated under this paragraph, all funds for contracted membership will still be due and owing and for accounts paid in advance, no refund will be issued. StreamLine regards integrity and fair play at highest value and our policy reflects such.

eBooks and temporary license items are for the use of the agent during membership term. Any use past paid membership is a violation of copyright and legal damages will be sought for use outside of StreamLine service term. All services and materials are considered "temporary license" unless otherwise stated at the time of purchase.

All services and materials are only available for use during paid membership and any use post-membership is a violation of copyright and damages will be sought for violation of this policy and/or copyright.

Monthly newsletter services are offered at a monthly fee schedule or discounted yearly pay in advance option. There is a 14 day cancellation option period, however, the set up fee and first monthly fee will not be refunded.

Branding Bundle is a one time fee for all materials included in this service. License is unlimited upon purchase and payment in full. However, all copyright rules apply and is not for use or copy by other parties.

Cancellation or Non-Renewal of Marking Pro Services: The agent can choose not to renew their yearly membership to this service. The services will be unpublished and the license to use any eBooks or materials provided by this service are revoked at 12 am on the renewal date and all access removed. Once the cancellation option period has passed, all services and fees are nonrefundable and the agent agrees they are responsible for the amount of the membership in full. At the agent’s direction, we can unpublish the Website and revoke the license to use the eBooks prior to the scheduled service expiration. However, no refund will be provided. Renewals will be processed automatically. Request to cancel renewal must be in writing to: [email protected], prior to renewal date.   License to Use: During the paid membership period, agents will have the right to use the purchased materials, along with eBooks, with any published updates. The agent is not authorized to use, publish, or distribute said products after the expiration date of their membership for these services. These publications are copyrighted and protected. StreamLine reserves the right to any legal enforcement of said copyright and proprietary services.  

Transaction Service Rates: Listing transaction services are $475 a listing to close. Closing transaction services are $400 a closing. If requested, StreamLine will prepare listing agreements, buyer representation paperwork based upon agent direction and terms provided by agent. As a courtesy (when a full transaction service has NOT been ordered) we also provide separate a-la-carte paperwork submission services for agents who already use StreamLine for a majority of their closings, as follows: $75 fee to upload all paperwork provided by agent to broker system and submission of CDA. $125 to coordinate creation, signing and returning of documents in addition to uploading documents to broker system and submission of CDA. ** Note this paragraph does not supersede any other terms in this document.    Invoicing and cancellation fees: Closing Transaction files are invoiced and due at closing. Some brokers will allow the fee to be included on the Commission Disbursement Authorization, allowing title to cut the check at funding. Please contact us with questions about the process. If a contract cancels within option the cancel fee will be $85. If the contract cancels between end of option and original financing contingency the cancellation fee will be $250. If the contract cancels after the original financing contingency date, up to closing date, the cancellation fee will be $300. Listing transaction file fees are currently being processed as due upon closing. However, Streamline reserves the right, upon its own discretion to change the date due as follows: when initial tasks have been completed and will be invoiced at that time (usually 2-3 days into listing).   The listing transaction will be coordinated all the way to closing. A listing that expires or cancels within the first 6 months from the date StreamLine received the order will be charged a $300 cancellation fee. Any listing that cancels or expires after 6 months from the date StreamLine receives the order will be charged a $375 cancellation fee. If a property is relisted at a later date a new listing fee will be due. If a payment has been made in advance of closing and the listing cancels, proration of fees will occur based upon the above cancellation fees.  

If StreamLine transaction fees change, agent will be provided 30 days notice of upcoming change to fees, by email or phone. The new fees will apply to any transaction orders executed 30 days after the notice was given. Continued use of StreamLine services will constitute agreement of those fees and the Terms and Conditions will still be fully in effect and enforceable with the new rates, whether or not an updated Terms and Conditions document is issued.   Checks returned for insufficient funds: All fees and damages, including time spent and incurred by StreamLine due to a check returned for any reason, will be the payer’s responsibility. In addition a fee of $50 will be charged for each incident.   StreamLine strives to provide the highest level of customer service and professionalism. The agent understands and agrees that upon placing an order with the Company, the fees noted in this document, or listed on the Company website are due and payable and authorizes StreamLine Agents Inc. (aka StreamLine Marketing Pro) to process payments.  

Severability: If any provision or provisions of this Agreement/Terms and Conditions shall be held to be invalid, illegal or unenforceable for any reason whatsoever: (a) the validity, legality and enforceability of the remaining provisions of this Agreement/Terms and Conditions (including, without limitation, each portion of any Section, paragraph or sentence of this Agreement/Terms and Conditions containing any such provision held to be invalid, illegal or unenforceable, that is not itself invalid, illegal or unenforceable) shall not in any way be affected or impaired thereby and shall remain enforceable to the fullest extent permitted by law; (b) such provision or provisions shall be deemed reformed to the extent necessary to conform to applicable law and to give the maximum effect to the intent of the parties hereto; and (c) to the fullest extent possible, the provisions of this Agreement/Terms and Conditions (including, without limitation, each portion of any Section, paragraph or sentence of this Agreement/Terms and Conditions containing any such provision held to be invalid, illegal or unenforceable, that is not itself invalid, illegal or unenforceable) shall be construed so as to give effect to the intent manifested thereby.
